OVERVIEW 

Welcome to Pure Seed ("Pure Seed," "we," "us," or "our"). Pure Seed is operated by Rose Agri-Seed, Inc., an Oregon corporation. Pure Seed operates this store and website, including all related information, content, features, tools, products, and services, to provide customers with a curated shopping experience (collectively, the "Services"). Pure Seed is powered by Shopify, which enables us to provide the Services to you. 

These terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services. 

Please read these Terms carefully. They include important information about your legal rights and cover areas such as warranty disclaimers, limitations of liability, claims procedures, and dispute-related provisions. 

By visiting, interacting with, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you should not use or access the Services. 

SECTION 1 - ACCESS AND ACCOUNT 

By agreeing to these Terms, you represent that you are at least eighteen (18) years of age or the age of majority in your state, province, or jurisdiction of residence, whichever is greater. Pure Seed does not knowingly permit individuals who do not meet this age requirement to create an account or purchase products through the Services. 

To use the Services, including browsing our online store or purchasing products or services, you may be asked to provide information such as your email address and billing, payment, or shipping information. You represent and warrant that all information you provide is correct, current, and complete and that you have all rights necessary to provide it. 

You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to another person. 

SECTION 2 - OUR PRODUCTS 

We have made reasonable efforts to provide accurate representations of our products and services. However, colors, packaging, labels, and product appearance may differ from what appears on your screen because of your device, display settings, production changes, or other factors. 

We do not warrant that the appearance or quality of any product or service will meet your expectations or be identical to depictions in our online store. 

All product descriptions, specifications, pricing, availability, images, and other product information are subject to change without notice. We reserve the right to discontinue any product at any time and may limit quantities offered to any person, geographic region, or jurisdiction on a case-by-case basis. 

SECTION 3 - ORDERS 

When you place an order, you are making an offer to purchase. Pure Seed reserves the right to accept, reject, limit, modify, or cancel an order for any lawful reason, including product availability, pricing or description errors, shipping restrictions, regulatory requirements, payment issues, or suspected fraudulent activity. An order is not accepted until Pure Seed confirms acceptance. We must receive and process payment before an order is accepted. 

Please review your order carefully before submitting it. Pure Seed may be unable to accommodate cancellation or modification requests after an order is accepted. If we do not accept, modify, or cancel an order, we will attempt to notify you using the email address, billing address, or telephone number provided with the order. If an order is canceled after payment has been processed, an appropriate refund will be issued to the original payment method.

Unless Pure Seed expressly approves otherwise in writing, you represent and warrant that your purchases are for lawful use and not for unauthorized commercial resale or export. 

SECTION 4 - PRICES, TAXES, AND BILLING 

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed and will appear in the order confirmation. Unless expressly stated otherwise, posted prices do not include taxes, shipping, handling, customs duties, import charges, or similar governmental charges. 

Prices in our online store may differ from prices offered through physical locations, distributors, or third-party stores. Promotions may be governed by separate terms. If promotional terms conflict with these Terms, the promotional terms will govern for that promotion. 

You agree to provide current, complete, and accurate purchase, payment, and account information and to update it promptly as necessary. You represent and warrant that the payment information you provide is true, correct, and complete, that you are authorized to use the payment method, and that you will pay all charges incurred at the posted prices, including applicable shipping, handling, and taxes. 

You are responsible for applicable sales, use, excise, customs, import, or similar taxes and charges unless Pure Seed has received and accepted a valid exemption certificate or applicable law requires otherwise. 

SECTION 5 - SHIPPING AND DELIVERY 

Shipping and delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs processing, weather, regulatory review, labor disruption, supply-chain interruption, or events outside our reasonable control. 

To the extent permitted by applicable law, title and risk of loss pass to you when the products are transferred to the carrier. Nothing in this provision limits non-waivable consumer rights or carrier obligations imposed by law. 

Certain products may be unavailable for shipment to particular states, territories, countries, or jurisdictions because of agricultural regulations, noxious-weed restrictions, phytosanitary requirements, import restrictions, or other legal limitations. Pure Seed may decline or cancel any order that it cannot lawfully fulfill. 

Products are intended for sale within the United States unless Pure Seed expressly approves otherwise in writing. Customers are responsible for compliance with applicable import, customs, phytosanitary, possession, planting, and use requirements in their jurisdiction. 

SECTION 5A - SEED PRODUCTS 

Seed is a natural agricultural product. Product performance may vary substantially because of factors beyond our control, including weather, climate, soil conditions, irrigation, fertility management, site preparation, seeding practices, mowing, pest or disease pressure, traffic and wear, storage, environmental conditions, and ongoing maintenance. 

Product descriptions, ratings, variety information, research summaries, trial results, field observations, and recommendations are provided for general informational purposes. They do not guarantee performance under a purchaser's specific site conditions. 

The purchaser is responsible for determining whether a product is suitable for the intended project, property, climate, soil, jurisdiction, and use and for following all applicable labels, seed tags, planting instructions, establishment guidance, and maintenance directions. 

Except as required by applicable law or expressly stated on a product label, seed tag, or written warranty issued by an authorized officer of Rose Agri-Seed, Inc., Pure Seed does not guarantee successful turf establishment, germination success beyond applicable seed-labeling requirements, disease resistance, drought tolerance, color, density, persistence, turf quality, appearance, or fitness for a particular purpose under the purchaser's conditions. Results may vary from site to site. 

SECTION 5B - PRODUCT INFORMATION AND LABEL CONTROL 

Product descriptions, specifications, ratings, recommendations, photographs, videos, establishment guides, performance data, and other information appearing on the Services are provided for general informational purposes only. While Pure Seed strives to provide accurate and current information, errors, omissions, changes, and variations may occur. 

The purchaser acknowledges that product labels, seed tags, package inserts, and packaging contain important information regarding seed content, purity, germination, planting instructions, restrictions, warnings, limitations, and legally required disclosures. 

In the event of any conflict or inconsistency between information presented through the Services and information appearing on a product label, seed tag, package insert, or product packaging, the information appearing on the product label, seed tag, package insert, or packaging will control to the extent permitted by applicable law. 

Descriptions, recommendations, and performance information published through the Services are not guarantees of future results and are not a substitute for site-specific evaluation, label compliance, or professional judgment. 

SECTION 5C - CLAIMS NOTIFICATION AND INSPECTION 

Purchasers are responsible for inspecting products promptly upon receipt and retaining the product packaging, seed tag, lot information, proof of purchase, and any remaining product that may be relevant to a claim. 

Any claim concerning shipment shortages, incorrect products, damaged packaging, or another readily observable issue must be submitted to Pure Seed in writing within thirty (30) days after delivery, unless a longer period is required by applicable law or provided in the Refund Policy. 

Any claim relating to germination, varietal purity, product performance, establishment, or an alleged latent defect must be submitted in writing promptly after discovery and, when reasonably possible, before the affected area is reseeded, renovated, destroyed, modified, or otherwise materially altered. 

As a condition of evaluating a claim, the purchaser agrees to provide reasonable supporting information and a reasonable opportunity for Pure Seed or its designee to inspect the product, packaging, seed tag, purchase and planting records, storage conditions, maintenance practices, planting location, and affected site before corrective action is taken. 

Failure to provide timely notice, preserve reasonably available evidence, or provide reasonable inspection access may affect or result in denial of the claim to the extent permitted by applicable law. Nothing in this section limits any right or remedy that cannot lawfully be waived, shortened, or restricted under applicable federal or state law. 

SECTION 5D - RECORD RETENTION AND EVIDENCE PRESERVATION 

To facilitate the investigation and evaluation of a product-related claim, purchasers should retain all reasonably available evidence relating to the purchase and use of the product, including product packaging, seed tags, lot numbers, proof of purchase, shipping records, planting records, maintenance records, photographs of the affected area, and any remaining unused product. 

Pure Seed may request this information when evaluating a claim. Failure to preserve reasonably available evidence may affect Pure Seed's ability to evaluate the claim and may affect available remedies to the extent permitted by applicable law. Nothing in this section limits rights or remedies that cannot lawfully be waived or restricted. 

SECTION 6 - INTELLECTUAL PROPERTY 

The Services, including trademarks, brands, text, displays, images, graphics, product reviews, video, audio, software, and the design, selection, and arrangement thereof, are owned by Pure Seed, Rose Agri-Seed, Inc., their affiliates, or licensors and are protected by applicable United States and foreign intellectual-property laws. 

These Terms permit you to use the Services for personal, non-commercial use and lawful purchasing activity only. You must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit material from the Services without prior written consent, except as permitted by law. 

Except as expressly provided, nothing in these Terms grants a license or other right under any patent, trademark, copyright, or other intellectual property of Pure Seed, Rose Agri-Seed, Inc., Shopify, or any third party. All rights not expressly granted are reserved. 

Pure Seed names, logos, product and service names, designs, and slogans are trademarks of Rose Agri-Seed, Inc., its affiliates, or licensors. Shopify's names, logos, products, and services are trademarks of Shopify. Other names and marks are the property of their respective owners. 

SECTION 7 - OPTIONAL TOOLS 

We may provide access to tools offered by third parties that we neither monitor nor control. Access is provided "as is" and "as available" without warranties, representations, conditions, or endorsement. To the fullest extent permitted by law, we are not liable for your use of optional third-party tools. 

Your use of optional tools is at your own risk and discretion. You should review and approve the applicable third-party terms before using them. New features, tools, and resources offered through the Services are also part of the Services and subject to these Terms. 

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE FOREGOING MAY NOT APPLY TO YOU. 

Except where applicable seed laws require otherwise, warranties relating to seed products are limited to those expressly required by law or stated on labels, seed tags, packaging, or a written warranty issued by an authorized officer of Rose Agri-Seed, Inc. No employee, representative, dealer, distributor, or agent is authorized to alter or expand a warranty unless the change is in a writing signed by an authorized officer of Rose Agri-Seed, Inc. 

SECTION 17 - LIMITATION OF LIABILITY 

TO THE FULLEST EXTENT PERMITTED BY LAW, PURE SEED, ROSE AGRI-SEED, INC., THEIR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, CROP OR TURF LOSS, FAILURE OF ESTABLISHMENT, LOST BUSINESS OPPORTUNITIES, LABOR COSTS, INSTALLATION COSTS, OR MAINTENANCE EXPENSES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING FROM THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

TO THE EXTENT LIABILITY CANNOT LAWFULLY BE EXCLUDED, THE MAXIMUM AGGREGATE LIABILITY OF PURE SEED AND ROSE AGRI-SEED, INC. FOR A CLAIM RELATING TO A PRODUCT WILL NOT EXCEED THE PURCHASE PRICE ACTUALLY PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM, EXCEPT WHERE APPLICABLE LAW REQUIRES A DIFFERENT REMEDY OR LIMIT. 

To the fullest extent permitted by applicable law, the remedies described in these Terms are exclusive and replace other remedies that may otherwise be available. Some jurisdictions do not allow certain exclusions or limitations of liability, so some of these limitations may not apply to you. 

SECTION 18 - INDEMNIFICATION 

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Pure Seed, Rose Agri-Seed, Inc., Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, and reasonable attorneys' fees arising from: (1) your material breach of these Terms or incorporated policies; (2) your violation of applicable law or another person's rights; or (3) your misuse of the Services. 

We will provide reasonable notice of an indemnifiable claim. A delay in notice will not relieve your obligations except to the extent you are materially prejudiced. We may control the defense and settlement at your expense, including selection of counsel, but will not settle a claim that imposes a non-monetary obligation on you without your consent, not to be unreasonably withheld. You agree to cooperate in the defense. 

SECTION 19 - SEVERABILITY 

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law and the unenforceable portion will be severed. The remaining provisions will remain in full force and effect. 

SECTION 20 - WAIVER; ENTIRE AGREEMENT 

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision. 

These Terms and the policies or operating rules posted through the Services constitute the entire agreement between you and us regarding the Services and supersede prior or contemporaneous agreements, communications, and proposals concerning the same subject matter. Any rule construing ambiguities against the drafting party will not apply to the extent permitted by law. 

SECTION 21 - ASSIGNMENT 

You may not delegate, transfer, or assign these Terms or your rights or obligations without our prior written consent, and any unauthorized attempt is void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice, subject to applicable law. 

SECTION 22 - GOVERNING LAW AND VENUE 

These Terms and any separate agreement through which we provide Services will be governed by and construed under the laws of the State of Oregon, without regard to conflict-of-law principles. 

Subject to any non-waivable right to bring a claim in another forum, any legal action arising from or relating to these Terms or the Services must be brought in a state court of competent jurisdiction located in Clackamas County, Oregon, or in the applicable federal court serving that location. You and Pure Seed consent to the personal jurisdiction and venue of those courts. 

SECTION 22A - INFORMAL DISPUTE RESOLUTION 

Before filing a lawsuit or initiating formal legal proceedings relating to the Services or a product purchased through the Services, the parties agree to make a good-faith effort to resolve the dispute informally. A party seeking resolution should first provide written notice describing the nature of the dispute, the relevant order or transaction, and the requested resolution. Notices to Pure Seed should be sent to marketing@pureseed.com and to the business address listed in Section 25. 

The parties agree to attempt to resolve the matter through direct communication before commencing litigation, except when immediate action is reasonably necessary to preserve a claim, comply with a filing deadline, protect intellectual-property or confidential-information rights, or seek temporary or emergency relief. Nothing in this section limits rights or remedies that cannot be waived under applicable law. 

SECTION 23 - HEADINGS 

Headings are included for convenience only and do not limit or otherwise affect these Terms. 

SECTION 24 - CHANGES TO TERMS OF SERVICE 

You may review the current version of these Terms at any time on this page. We reserve the right to update, change, or replace any part of these Terms by posting changes through the Services. 

We will provide notice of material changes when required by applicable law. Changes will be effective on the date stated in the notice or, if no date is stated, when posted. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms to the extent permitted by law.

SECTION 26 - FORCE MAJEURE 

Pure Seed will not be responsible or liable for a delay, interruption, shortage, failure to perform, or inability to fulfill an order to the extent caused by events beyond its reasonable control. Such events may include severe weather, flood, drought, wildfire, earthquake, natural disaster, crop failure, seed-production shortage, pest infestation, plant disease, labor shortage or dispute, transportation disruption, supply-chain interruption, utility or telecommunications outage, cybersecurity incident, government action, regulatory or trade restriction, customs delay, public-health emergency, act of war, terrorism, or civil unrest. 

If such an event occurs, Pure Seed may delay performance, allocate available inventory among customers, suspend shipments, cancel affected orders and issue appropriate refunds for undelivered products, or take other commercially reasonable action without liability, subject to applicable law. 

This section does not excuse a purchaser's obligation to pay for products already delivered and does not limit rights or remedies that cannot lawfully be waived.
